Why can a dissolved LLC still owe Form 5472?

Dissolution itself can create reportable transactions. The IRS Instructions for Form 5472 include amounts paid or received in connection with the dissolution or disposition of a foreign-owned U.S. disregarded entity, including distributions from the entity.

State dissolution and federal filing are separate steps. Cancelling the LLC with the state does not retroactively remove federal information-reporting obligations for the period the entity existed.

Record the gross events separately. A bank account that ends at zero can still contain substantial reportable transfers during the final year.

How do you mark the filing as final?
