Payments or receipts between a foreign-owned US LLC and a foreign related party for intellectual property can be reportable on Form 5472. The filing analysis must distinguish an outright sale, a license or royalty, a service component, and a noncash transfer. A separate source-of-income and withholding analysis may also apply.
Form 5472 disclosure does not itself settle whether US tax must be withheld. Treat those as two connected workstreams.
If the LLC paid its owner or an affiliate for software, a brand, content, a patent, or another right, start a reviewed Form 5472 package with the agreement and gross-payment ledger.
Classify the intellectual-property arrangement first
The Form 5472 instructions include amounts paid or received for the sale, lease, or license of intangible property among the Part IV monetary categories. Treasury Regulation section 1.6038A-2 similarly identifies intangible-property consideration as a reportable category.

The contract label is not conclusive. A “software service” may contain a license, hosting, development, and support. Preserve the legal rights actually granted: reproduction, modification, distribution, sublicensing, duration, exclusivity, and geographic territory.
Form 5472 and withholding are separate axes
The IRS source-of-income rules for nonresident aliens generally source patent and copyright royalties according to where the property is used. The broader NRA withholding overview explains that US-source fixed or determinable annual or periodical income is generally subject to 30% gross withholding unless a treaty or another rule reduces or removes it.
That does not mean every foreign IP payment is automatically withheld at 30%. The payer must determine:
- what the payment legally represents;
- where the intellectual property is used;
- whether the beneficial owner supplied a valid Form W-8;
- whether a treaty applies and its limitation-on-benefits requirements are met;
- whether the income is effectively connected; and
- whether Forms 1042 and 1042-S are required.
Form5472 Prep does not decide treaty eligibility or prepare the withholding returns. Obtain international tax advice before paying material related-party royalties.
Do not report only the net bank amount
Form 5472 generally works from the gross reportable category. If an invoice charges a $20,000 annual license fee and a separate $5,000 support fee, preserve both categories even if the LLC pays one $25,000 wire. If withholding reduces the cash remitted, keep the gross expense, tax withheld, and net wire connected in the workpaper.

Pricing support matters beyond the form
Related-party royalty rates and IP sale prices can raise section 482 transfer-pricing issues. A complete Form 5472 is not proof that the rate is arm's length. Significant arrangements may require comparables, a functional analysis, ownership and development records, and specialist advice about cost-sharing or intangible transfers.
Avoid reverse-engineering a royalty only from the cash sent. Start with the signed agreement, the rights used, the parties' functions and risks, and the pricing evidence that existed when the arrangement was made.

Does Form 5472 decide whether withholding applies?
No. Form 5472 disclosure and withholding are separate workstreams. The payer still has to analyze what the payment represents, where the IP is used, W-8 documentation, treaty claims, ECI, and any Forms 1042 or 1042-S.
What if one contract includes software and support?
Preserve the legal rights and services actually provided. A combined fee may need to be split between IP and service components when supportable, using the contract, invoice detail, and a defensible allocation method.
What records support an IP payment?
Keep the legal payer and payee, relationship, IP ownership, rights granted, payment terms, gross amount, currency conversion, service component if any, withholding position, and Form 5472 category.
