A foreign-owned Oregon LLC should separate entity maintenance, Oregon tax obligations, and federal reporting. The LLC generally has an Oregon annual report; commercial activity can require Oregon Corporate Activity Tax registration or filing; and related-party transactions can trigger federal Form 5472. Oregon's lack of a general sales tax does not remove the other layers.
The word “foreign” also has two meanings here. Oregon may call an LLC foreign because it was formed in another state, while Form 5472 focuses on ownership by a non-US person.

No single “Oregon LLC tax return” settles every row.
Annual report and the two meanings of foreign
The Oregon Secretary of State warns that an Oregon corporation or LLC must file an annual report and currently lists a $100 fee in its official annual-report guidance.
An LLC formed outside Oregon that registers to do business in Oregon is a foreign LLC under state entity law. Oregon's official Business Xpress license directory currently lists a $275 registration fee and a $275 renewal fee for a foreign non-Oregon LLC.

Oregon Corporate Activity Tax thresholds
Oregon's Corporate Activity Tax guidance currently uses three important commercial-activity levels:

The Department currently states that CAT is $250 plus 0.57% of taxable commercial activity over $1 million after the statutory subtraction. Registration and filing thresholds are based on Oregon commercial activity, not simply the LLC's bank balance or worldwide revenue.
Sourcing, exclusions, unitary groups, agency relationships, and the subtraction calculation can materially change the result. Businesses approaching either threshold should use an Oregon tax professional.
No general sales tax is not no state tax
The Oregon Department of Revenue's sales-tax page confirms that Oregon does not have a general sales, use, or transaction tax. That does not cancel CAT, income or excise tax, payroll withholding, statewide transit tax, property tax, lodging taxes, or local obligations.
An Oregon e-commerce business can therefore have no general sales-tax collection in Oregon and still need annual-report, CAT, payroll, or federal filings. Sales into other states can also create those states' sales-tax duties.
Federal Form 5472 uses a different trigger
Under the IRS Form 5472 instructions, a foreign-owned US disregarded entity files Form 5472 with a pro forma Form 1120 when it has a reportable transaction. Common transactions include:
- owner contributions and distributions;
- loans, advances, repayments, and interest;
- owner-paid LLC expenses and reimbursements;
- related-party services, rents, royalties, or property; and
- certain formation, acquisition, disposition, and dissolution activity.
The federal return does not depend on reaching Oregon's $750,000 or $1 million CAT thresholds. An LLC with no customer revenue can still have Form 5472 reporting because the owner funded it. Conversely, high Oregon customer revenue is not itself a Form 5472 transaction when the customers are unrelated.
