A digital-nomad visa does not automatically settle the Spanish tax treatment of a U.S. LLC owner moving to Barcelona. Immigration approval, eligibility for Spain's special inbound tax regime, the election procedure, and U.S. Form 5472 reporting are separate questions. Build a document pack that lets the appropriate adviser answer each one.

This guide assumes a non-U.S. individual owns a single-member U.S. disregarded LLC without a corporate election. It does not determine eligibility for Spain's special regime or address U.S. citizens living abroad.

Why an LLC owner should not assume an employee example applies

Spain's tax agency describes several qualifying routes and conditions for its special regime. Its discussion of remote employment specifically references employed workers, while entrepreneurial and certain professional activities have their own conditions. Owning the LLC that invoices customers is not the same factual situation as being an employee of an unrelated foreign employer. Give the adviser the real contracts and operating agreement. Do not rewrite an owner distribution as “salary” merely to resemble a visa or tax example you found online.

Ask for the exact eligibility route being considered and which documents support it. If the answer depends on an unresolved classification of the LLC or its activities, resolve that before relying on a projected rate.

The election needs its own evidence trail

AEAT's Form 149 procedure describes the election communication and supporting-document submission. Keep the eligibility analysis, required evidence, submission reference, and any response together. Ask the Spanish adviser to confirm the applicable deadline from your actual facts; do not assume it runs from whichever date is easiest to find.

A visa approval email is not a substitute for the tax-election record. Likewise, a draft Form 149 is not evidence that it was submitted.

Build one LLC packet for both advisers

Include the formation document, operating agreement, ownership history, any U.S. tax elections, EIN confirmation, contracts, work-location record, and bank statements. Add a schedule distinguishing customer receipts from money contributed by or paid to the owner.

For example, a Barcelona-based designer may receive client income in an LLC account and later withdraw money personally. The Spanish adviser needs to determine the local treatment of the arrangement and income. The U.S. preparer needs the LLC's reportable related-party transactions. Neither should have to infer those facts from the transfer memo alone.

Under the IRS Form 5472 instructions, contributions and distributions can be reportable for a foreign-owned U.S. disregarded entity. A Spanish tax election does not replace a required Form 5472 and pro forma Form 1120.

No. Review tax eligibility and the election procedure separately. The relevant route and supporting facts matter, especially where you own the business through which you work.

Should I wait for Spain's tax decision before organizing Form 5472?

No. You can assemble the LLC's annual records and confirm its U.S. filing deadline while the Spanish analysis proceeds. Share any conclusions that affect the facts supplied to the U.S. preparer.
