A non-US owner’s Etsy or print-on-demand LLC generally does not report ordinary Etsy sales or payments to unrelated Printful, Printify, or other suppliers on Form 5472. It reports qualifying transactions with the foreign owner and foreign related parties, including top-ups, draws, loans, reimbursements, owner-paid samples, and related-company service payments.

One Etsy order can create a sale, marketplace tax, refund reserve, listing or processing entry, currency conversion, payout, and print-on-demand fulfilment charge. Form 5472 is not a second Etsy ledger. The filing isolates transactions between the LLC and its foreign owner or another foreign related party.

That classification matters because the IRS Instructions for Form 5472 impose a $25,000 penalty per form per year when a required filing is missing or substantially incomplete. If the shop records mix owner top-ups with ordinary marketplace cash, start an accountant-reviewed filing.

Which Etsy and print-on-demand transactions are reportable?

Identify the person on the other side of each transaction before looking at the platform or payment rail. Etsy, a payout processor, and an independent fulfilment supplier are normally operating counterparties. The owner and an owner-controlled foreign business are related parties.

“Foreign” and “related” are not synonyms. A supplier outside the United States is not a related party merely because the LLC owner also lives abroad. Ownership, control, and the relationship rules determine whether the supplier belongs on Form 5472.

Why do Etsy sales proceeds usually stay off Form 5472?

Etsy sales are receipts from unrelated buyers, commonly settled through the marketplace into the LLC’s payment account. Neither gross order value nor the net payout is a transaction with the foreign owner merely because the shop and bank account belong to the owner’s LLC.

The annual books should still reconcile gross sales to refunds, marketplace-collected tax, platform deductions, reserves, currency conversions, and net bank deposits. That reconciliation explains the business’s revenue and cash. It does not determine the Form 5472 total.

The reportable-transaction categories in the Form 5472 instructions cover dealings with foreign related parties, including listed payments and the contributions, distributions, acquisitions, and dispositions reported for a foreign-owned US disregarded entity. Unrelated customer sales remain outside that relationship.

The answer changes if a buyer, wholesaler, or licensing company is owned or controlled by the LLC owner. A transaction that looks like ordinary revenue can be related-party revenue when the counterparty is related.

Are Printful and Printify supplier payments reportable?

Payments to an unrelated print-on-demand company are generally third-party operating costs. The LLC is buying printing, product, packing, or fulfilment from a vendor that is not related to the owner. The invoices remain important for bookkeeping and income tax, but they do not enter Form 5472 solely because the supplier is foreign or the charge is automated.

Do not classify by brand name alone. A seller may also use a private foreign fulfilment company, design studio, or sourcing company that the owner controls. Payments to that business are related-party transactions, even if they appear beside Printful or Printify charges in the same expense category.

Keep supplier contracts, invoices, order-level fulfilment reports, refunds, and payment records. For a related supplier, also keep the service or product description, gross annual amount, currency conversion basis, and pricing support. A separate Form 5472 is generally prepared for each foreign related party.

How does Etsy marketplace sales tax affect the filing?

Marketplace-facilitator sales tax is a separate state compliance track. Etsy’s official US sales-tax help data says Etsy automatically calculates, collects, and remits US sales tax for qualifying orders under applicable state marketplace-facilitator laws. The exact treatment depends on the order and taxing authority.

For Form 5472, marketplace-remitted tax is not an owner transaction. Reconcile it so gross sales, the Etsy activity summary, and bank payouts agree, but do not move it into the owner schedule.

Marketplace collection also does not prove the LLC has no other state duties. Sales made away from Etsy, inventory, employees, business activity, or another marketplace can require separate state analysis. Do not use Form 5472 or an Etsy remittance label as a universal sales-tax conclusion.

How do KDP royalties fit into the same business?

KDP payments are another operating-revenue stream, not an owner contribution. Amazon’s official KDP tax information page describes payments from US marketplace sales as royalties and directs publishers through its withholding process.

For a disregarded LLC owned by a nonresident individual, the individual owner generally supplies W-8BEN. The IRS Instructions for Form W-8BEN say the single owner of a disregarded entity is treated as the beneficial owner of income the entity receives. Keep KDP royalty statements, tax-form acceptance, withholding records, and bank deposits together. A KDP payout remains separate from a later transfer from the LLC to the owner: the first is platform revenue; the second is a related-party movement.

How should a POD seller reconcile the year?

Build a bridge from marketplace orders to related-party totals.

  1. Export Etsy orders, cancellations, refunds, tax, deductions, reserves, and payout activity for the full tax year.
  2. Export Printful, Printify, KDP, bank, card, and payment-processor statements covering the same dates.
  3. Reconcile gross marketplace activity to net deposits and identify timing items at year-end.
  4. Mark unrelated buyers, marketplaces, processors, and fulfilment companies as operating counterparties.
  5. Identify every transfer between the LLC and the owner’s personal bank accounts or cards.
  6. Identify personally paid samples, subscriptions, advertising, design work, and other LLC costs.
  7. Identify every company owned or controlled by the owner and prepare a separate schedule for each related party.
  8. Record date, direction, description, source currency, exchange-rate basis, and US-dollar amount, then map gross categories to Part IV or the Part V statement.

Do not use a single “net profit withdrawn” number. Owner funding, owner-paid costs, reimbursements, and draws can move in opposite directions and belong in different reporting descriptions.

How does an Etsy worked example reach Form 5472?

Consider this illustrative example created for this guide, not a seller statistic or a platform fee quote. A nonresident individual owns a disregarded US LLC.

The marketplace bridge is $36,000 - $4,000 = $32,000 in net Etsy payouts. The Printful or Printify charges affect business profit but remain unrelated supplier costs in this fact pattern.

The simplified related-party amount reviewed for Form 5472 is $11,600: $3,000 top-up + $600 owner-paid samples + $8,000 draw. Do not net the inflows against the outflow and report only $4,400. The filing and Part V statement describe gross direction and category.

If the fulfilment provider were instead the owner’s foreign company, the $15,000 supplier total would move into a separate related-party analysis and could require another Form 5472.

What do four Etsy and POD scenarios look like?

Four scenarios, worked through, show why the same shop dashboard can produce different filings.

Scenario 1: Etsy shop uses an unrelated POD supplier

Etsy pays net sale proceeds to the LLC and an unrelated POD provider charges for each fulfilled order. Both streams support the books but generally stay off Form 5472. Opening funding and later owner draws remain reportable.

Scenario 2: Owner pays samples and advertising personally

The LLC account is short of cash, so the owner buys samples and advertising on a personal card. Those are owner-funded LLC costs, commonly recorded as contributions, loans, or reimbursable amounts. A later reimbursement is another owner movement that needs its own support.

Scenario 3: Seller also receives KDP royalties

KDP deposits royalties into the LLC account after applying its tax-documentation process. The royalty is platform revenue, not an owner contribution. A later transfer to the owner is separately classified for Form 5472, and the owner’s W-8BEN stays in the withholding file.

Scenario 4: Owner’s foreign company supplies designs

The LLC pays a foreign company controlled by the owner for artwork, licences, customer support, or fulfilment. That company is a separate foreign related party. Its invoices may require another Form 5472, while the individual owner’s top-ups and draws stay on the owner-related form.

When and how does the seller LLC file?

A calendar-year foreign-owned US disregarded LLC generally files its 2025 Form 5472 package by 15 April 2026. A Form 7004 timely submitted by that date extends the deadline to 15 October 2026.

Part II identifies the owner. Enter the FTIN on line 4b(3), or “None” or “N/A” when none exists. A reference ID on line 4b(2) is required whenever line 4b(1) has no US identifying number, and that reference ID must remain consistent each year.

Write “Foreign-owned U.S. DE” across the top of the pro forma Form 1120. The package cannot be e-filed. Fax it at 300 DPI or higher to 855-887-7737, or mail it to the IRS Ogden PIN Unit address in the instructions. Keep the signed package, source schedules, and timestamped delivery record.

After 90 days from an IRS notice, a continuing failure can add $25,000 for each 30-day period or fraction under §6038A(d)(2). Etsy or KDP tax documentation does not replace the LLC’s information return.

Frequently asked questions

Do Etsy sales go on Form 5472?

Ordinary sales to unrelated Etsy buyers generally do not. Reconcile gross orders to net payouts, then separately identify transactions with the foreign owner and other foreign related parties.

Are Printful and Printify payments reportable?

Usually not when the supplier is unrelated. If the owner controls the supplier or a related foreign company provides designs, goods, or fulfilment, its payments may require a separate Form 5472.

Are owner top-ups reportable?

Generally yes. Record whether each top-up is a capital contribution or loan, preserve the transfer record, and do not net it against later draws.

Are owner-paid product samples reportable?

Generally yes when the sample is an LLC cost funded personally. Keep the invoice and payment proof, classify the amount, and preserve any later reimbursement.

Does Etsy-remitted sales tax go on Form 5472?

Not as an owner transaction. Reconcile marketplace-collected tax to Etsy records and analyse any separate state duties outside Form 5472.

Do KDP royalties go on Form 5472?

Ordinary KDP royalties are platform revenue, not an owner transaction. The owner’s withholding form and any later LLC-to-owner transfer are separate matters.

Does a shop with no sales still file Form 5472?

It can. Formation funding, owner-paid listings or samples, loans, reimbursements, and other related-party movements can trigger filing before the first customer order.
