Shopify Dropshipping LLC: Non-Resident Form 5472

A non-resident's Shopify dropshipping LLC does not report ordinary customer sales, payment-processor payouts, or unrelated supplier bills on Form 5472 merely because money crossed the account. It generally reports transactions with the foreign owner or another related party: funding, draws, loans, reimbursements, owner-paid advertising, and related-company supplier payments.

A Shopify store can create hundreds of bookkeeping lines from one order: the customer charge, tax, discount, processor fee, reserve, refund, chargeback, currency conversion, payout, supplier bill, and advertising cost. Form 5472 is not a duplicate of that activity report. It asks a narrower question: did the LLC transact with its foreign owner or another related party?

That distinction matters because the IRS Instructions for Form 5472 set a $25,000 penalty per form per year for failure to file. When the hard part is separating owner movements from store activity, start an accountant-reviewed filing and provide the reconciled annual records.

Which Shopify dropshipping transactions go on Form 5472?

Classify the counterparty before classifying the payment rail. Shopify, PayPal, Wise, a bank, or a card is only the route money travelled. The relationship between the LLC and the person on the other side determines whether Form 5472 is relevant.

The table is a classification starting point, not an income-tax conclusion. Keep ordinary operating records even when a transaction stays off Form 5472.

Are Shopify Payments and PayPal payouts reportable?

Ordinary payouts are generally not reportable merely because Shopify Payments or PayPal sent them to the LLC. The money represents customer revenue net of the processor's adjustments. Neither the gross order total nor the net payout becomes a related-party transaction unless a related person was actually involved.

The processor ledger still matters. Shopify's official help centre explains that merchants can review payout balances and transaction breakdowns on its payout management page. Use those reports to reconcile gross sales, refunds, fees, adjustments, and deposits to the LLC bank.

Chargeback reserves do not create a Form 5472 category. A reserve can change when cash reaches the bank without changing who earned the revenue. A later chargeback likewise affects bookkeeping and profit, but not related-party reporting unless the owner personally covers it or receives a reimbursement.

Are AliExpress, CJ, and other supplier payments reportable?

Payments to independent dropshipping suppliers are generally ordinary third-party purchases, not Form 5472 transactions. A supplier being foreign does not make it related. The relevant tests concern ownership, control, and the relationships described in the federal related-party rules.

The result changes when you own or control the supplier. Treasury's reportable-transaction regulation covers monetary dealings between the reporting corporation and a foreign related party, including purchases and sales of tangible property and payments for services.

Suppose a non-resident owns the US LLC and a separate foreign sourcing company. If the US LLC pays that sourcing company for inventory, fulfilment, product research, or management, the foreign company is not just “the supplier.” It is another related party. Prepare a separate Form 5472 for it and retain invoices, contracts, pricing support, payment evidence, and the business reason for each charge.

Do not combine the owner's personal transfers and the foreign company's invoices under one related party. They are legally different counterparties, even if one person controls both.

Which owner payments are reportable?

Owner funding, draws, loans, reimbursements, and costs paid personally are the most common Form 5472 items in a dropshipping business. They often happen informally because the store needs advertising cash before the next payout.

An owner who uses a personal card for LLC advertising has funded a company obligation. Record whether the amount is a capital contribution, loan, or reimbursable cost. If the LLC later repays the owner, preserve both legs: the original owner-paid expense and the reimbursement.

Use this annual procedure:

  1. Export Shopify orders, refunds, taxes, fees, disputes, and payout activity.
  2. Export PayPal, Wise, and every LLC bank and card statement.
  3. Reconcile gross customer activity to net processor payouts.
  4. Mark unrelated suppliers, apps, processors, and advertising platforms as ordinary operations.
  5. Identify every transfer to or from the owner, including personal-card top-ups and reimbursements.
  6. Identify every company owned or controlled by the owner or relevant family members.
  7. Build a separate related-party schedule with dates, direction, description, source currency, conversion method, and US-dollar amount.
  8. Tie each annual related-party total to Form 5472 Part IV or the Part V statement.

The reconciliation should explain why total store revenue differs from cash payouts and why both differ from the Form 5472 total.

How does a Shopify worked example reach Form 5472?

Consider an illustrative month created for this guide. It is not a merchant statistic or a real filing.

The payout reconciliation is $30,000 - $1,500 - $900 = $27,600. The LLC then pays an unrelated dropshipping supplier $11,000 and unrelated advertising platforms $6,000. The foreign owner pays another $1,200 of LLC advertising personally and later takes a $4,000 draw.

The simplified Form 5472 owner-movement total is $5,200: $1,200 owner-paid cost + $4,000 draw. It is not gross sales, net payouts, supplier spend, advertising spend, or profit. The transaction descriptions and classifications still matter; do not report a single unexplained net number.

What do four Shopify dropshipping scenarios look like?

Four scenarios, worked through, show how small relationship changes alter the filing.

Scenario 1: Unrelated customers and unrelated suppliers

The LLC receives Shopify Payments payouts and pays independent AliExpress or CJ suppliers. Those flows support the books but generally stay off Form 5472. If the owner contributed opening cash or took draws, the owner movements remain reportable.

Scenario 2: The owner tops up advertising personally

The store's payout is delayed, so the owner pays an advertising bill on a personal card. That is an owner-funded LLC cost, commonly classified as a contribution or loan. A later reimbursement is another owner movement. Keep the advertising invoice, card evidence, and repayment record.

Scenario 3: The supplier is the owner's foreign company

The US LLC buys goods and sourcing services from a foreign company controlled by the same owner. The foreign company is a related party, so its transactions may require a second Form 5472. Report gross categories as required rather than netting invoices against owner draws.

Scenario 4: The store has no sales but received funding

The owner contributes cash, buys a theme and apps, then pauses the launch. Zero sales do not erase the contribution or owner-paid expenses. A dormant or pre-revenue LLC can still have a Form 5472 requirement.

Does dropshipping sales tax change Form 5472?

Sales-tax nexus is a separate state question. Inventory location, customer destination, marketplace rules, and the states in which the business has sufficient connection can affect registration and collection. Shopify settings and reports can help administer a conclusion, but the platform does not decide where the LLC is legally registered.

Sales tax collected from customers is not an owner transaction merely because it passes through a payout. Keep it separate in the books, reconcile amounts collected and remitted, and obtain state-specific advice where the store may have nexus. Forming in a low-tax state does not eliminate obligations created elsewhere.

When and how does the LLC file the federal package?

A calendar-year foreign-owned disregarded LLC generally files Form 5472 with a pro forma Form 1120 by 15 April. For the 2025 tax year, that meant 15 April 2026. A timely Form 7004 extended the deadline to 15 October 2026.

Part II identifies the foreign owner. Enter the owner's FTIN on line 4b(3), or “None” or “N/A” if no FTIN exists. When line 4b(1) has no US identifying number, line 4b(2) requires a reference ID. Keep that reference ID consistent every year.

Write “Foreign-owned U.S. DE” across the top of the pro forma Form 1120. A foreign-owned US disregarded entity cannot e-file the package. Fax it at 300 DPI or higher to 855-887-7737, or mail it to Internal Revenue Service, 1973 Rulon White Blvd, M/S 6112, Attn: PIN Unit, Ogden, UT 84201.

A substantially incomplete filing counts as failure to file. After 90 days from an IRS notice, a continuing failure can add $25,000 for each 30-day period or fraction under IRC §6038A(d)(2). Keep source reports and proof of delivery.

Frequently asked questions

Do Shopify sales go on Form 5472?

Ordinary sales to unrelated customers generally do not. Form 5472 focuses on transactions with the foreign owner and other foreign related parties, not the LLC's complete revenue statement.

Are Shopify Payments payouts reportable?

Not merely because the processor sends them to the LLC bank. Reconcile payouts to customer sales, refunds, fees, reserves, and adjustments, then report the separate owner or related-party movements.

Are AliExpress or CJ supplier payments reportable?

Usually not when the supplier is independent. If the owner controls the supplier or another related company provides goods or services, those payments may require a separate Form 5472.

Is an owner-paid advertising bill reportable?

Generally yes. Paying an LLC cost from the owner's personal card is an owner-funded company obligation. Record whether it is a contribution, loan, or reimbursable amount and preserve any later repayment.

Do chargebacks or payout reserves go on Form 5472?

Not by themselves. They affect processor reconciliation and bookkeeping. A related-party issue arises if the owner personally covers a chargeback or the LLC reimburses the owner.

Does a Shopify LLC with no profit file Form 5472?

It can. Form 5472 reports related-party transactions, not profit. Opening funding, owner-paid apps or advertising, loans, reimbursements, and draws can trigger filing during a loss or pre-revenue year.

Does sales-tax registration replace Form 5472?

No. Sales tax is administered by states and concerns taxable sales and nexus. Form 5472 is a federal related-party information return. A store may need one, both, or neither depending on its facts.
