A Georgian individual entrepreneur registration and a U.S. LLC are not interchangeable names for the same paperwork. A digital nomad in Tbilisi using both should identify the actual contracting party, account holder, and recipient of every payment before preparing local returns or Form 5472. Moving money between accounts does not establish a valid service arrangement by itself.

This guide concerns a non-U.S. individual who owns a U.S. single-member disregarded LLC with no corporate election. It is a documentation guide, not an endorsement of an “LLC plus Georgian IE” tax structure.

Small-business status belongs to a qualifying person

Georgia's Tax Code describes small-business status for an entrepreneur natural person and provides application, activity, and income rules. It does not simply award that status to a foreign LLC because its owner lives in Tbilisi. See Articles 88–91 of the official Tax Code of Georgia.

Before using any advertised small-business rate, ask a Georgian adviser which taxpayer earns the income, whether the activity qualifies, and how the proposed arrangement is treated. Registration paperwork alone is not an analysis of every payment that later enters an account.

Make a counterparty map before issuing invoices

Keep the underlying names, not just a convenient nickname such as “business Wise.” A trading label does not tell the preparer whether an account belongs to the LLC or to its owner.

Why “I invoiced my LLC” needs review

Assume a designer's customer contract names the U.S. LLC. The LLC receives $6,000, and the designer later moves $4,000 to an account associated with their Georgian individual entrepreneur activity. These are hypothetical facts.

The transfer description “consulting invoice” does not settle what happened. The same person owns the LLC and operates the individual business. The preparers need the real agreements, work performed, ownership, and accounting treatment—not a document created solely to make the bank memo look plausible.

For U.S. income-tax purposes, a disregarded entity is generally not separate from its owner. Yet a foreign-owned U.S. disregarded entity is treated separately for the limited information-reporting requirements described in the IRS Form 5472 instructions. That distinction is why an owner transaction can matter for reporting without automatically becoming a deductible payment between independent businesses.

Do not backdate an agreement or invent services. Record the unresolved classification and ask the advisers to reconcile it before filing.

The monthly reconciliation to request

Have your records show customer receipts, transfers between LLC-owned accounts, payments to third parties, and transfers involving you as the owner. Reconcile opening and closing balances separately for each legal account holder.

Then ask the Georgian adviser to identify which amounts belong in the local records and on what basis. Give that explanation to the U.S. preparer along with the source documents. If the two advisers use different tax classifications, document the reason rather than altering bank history to force the labels to match.

Frequently asked questions

Does Georgian small-business status eliminate Form 5472?

No. Georgian status does not remove the separate U.S. information-reporting analysis for a foreign-owned disregarded LLC with reportable related-party transactions.

Should I classify every LLC-to-IE transfer as a service fee?

No. Use the actual facts and adviser-reviewed treatment. An account label or invoice title does not turn every owner transfer into a service transaction.

Prepare the U.S. reporting with the facts intact

Once the account ownership and transaction descriptions are reconciled, start Form 5472 preparation. Include any adviser explanation for unusual owner transactions, and obtain separate Georgian advice on the local arrangement.
