An Australian resident who wholly owns a US single-member LLC generally files Form 5472 with a pro forma Form 1120 when the LLC has a reportable transaction with its owner or another related party. Owner funding, withdrawals, loans, reimbursements, formation costs and dissolution transactions can qualify even when the LLC earned no revenue.

The filing is a US information return, not a calculation of Australian tax. The IRS Form 5472 instructions state that a required Form 5472 filed late, filed substantially incomplete, or not supported by required records can trigger a $25,000 penalty. If the LLC needs a clean annual package, start a guided Form 5472 filing after collecting the LLC's EIN and owner ledger.

Does an Australian-owned US LLC have to file Form 5472?

An Australian-owned US LLC generally has to file Form 5472 when it is a domestic disregarded entity wholly owned by a foreign person and it had a reportable transaction during the tax year. The IRS instructions define a foreign-owned US disregarded entity as a domestic disregarded entity wholly owned by a foreign person, and say that reporting corporations file Form 5472 when reportable transactions occur.

Use this filing test:

  1. The entity was formed in a US state, such as Wyoming, Delaware or New Mexico.
  2. The entity had one tax owner for US federal income tax purposes.
  3. The owner was an Australian individual, Australian company, or other non-US person.
  4. The LLC did not elect to be taxed as a corporation.
  5. Money, property, services or another item of value moved between the LLC and the owner or another related party.

The last step is where most Australian owners get caught. Customer revenue is not automatically a related-party transaction, but a transfer between the owner and the LLC is. Initial bank funding, an owner draw, a personally paid registered-agent invoice, or an owner loan can all make the year reportable.

For a calendar-year LLC, the 2025 tax year package was due on 15 April 2026 unless a timely Form 7004 extension moved the filing deadline to 15 October 2026. The IRS instructions say foreign-owned US disregarded entities request the extension by filing Form 7004 by the regular due date.

Which Australian number goes in the FTIN field?

The Australian owner's Tax File Number is normally the FTIN for an individual owner, while an Australian entity owner uses the entity's tax identifier. The ATO's TFN material says an existing TFN stays with the taxpayer for life and points taxpayers to online services and the ATO app for finding an existing TFN through ATO Community.

Do not put the LLC's EIN in the owner's FTIN field. The EIN identifies the US reporting entity. The FTIN identifies the Australian owner.

Form 5472 itemAustralian-owner treatment
Reporting entity EINThe US LLC's EIN
Foreign owner FTINIndividual TFN, or the Australian entity's own tax identifier
Owner US identifying numberSSN, ITIN or EIN only if the owner already has one
Reference ID numberA consistent filer-created alphanumeric ID where the IRS instructions require one
No owner FTINUse "None" or "N/A" only where the IRS instructions permit it

An Australian individual does not obtain an ITIN solely because Form 5472 exists. The US LLC needs an EIN. The owner uses the applicable foreign identifier and reference-ID process unless a US identifying number already exists.

What does the US-Australia treaty change for Form 5472?

The US-Australia income tax treaty can matter for an Australian owner's US income-tax analysis, but the treaty does not remove the Form 5472 information-return requirement. The IRS treaty A-to-Z page lists Australia among countries with US income tax treaty documents.

That treaty fact should not be over-read. A treaty may affect whether business profits are taxable in the United States, but Form 5472 is different: it reports related-party transactions involving a foreign-owned US disregarded entity.

The practical split is:

QuestionAustralian owner analysis
Does the LLC owe US corporate income tax?Usually no, if it remains a disregarded entity
Does the owner owe US tax?Fact-specific; depends on US trade or business, US-source income and treaty analysis
Does treaty relief cancel Form 5472?No
Does no US tax cancel Form 5472?No
Does Australian tax treatment cancel Form 5472?No

Form5472 Prep is not a CPA firm and does not give tax advice. Use Australian and US advisers for residence, classification, treaty, US people, inventory, services or real estate questions.

Which transactions should an Australian owner collect?

An Australian owner should collect every transfer of value between the owner and the LLC before deciding whether the amount belongs on Form 5472. The return is built from the related-party ledger, not the profit-and-loss statement alone.

Use these buckets:

BucketAustralian-owner examplesWhy it matters
Owner to LLC cashInitial bank deposit, later capital contributions, owner loansContributions and loans are common Part V facts
LLC to owner cashDraws, distributions, loan repaymentsWithdrawals are separate from customer revenue
Owner-paid LLC costsFormation invoice, registered agent, software, bank fees paid personallyPersonally paid business costs move value into the LLC
ReimbursementsLLC repays the owner for a personal-card expenseReimbursement completes a related-party movement
Non-cash itemsEquipment, IP, services, debt forgivenessNon-cash transfers still need review
Lifecycle eventsFormation, acquisition, sale, liquidation, dissolutionPart V asks for other transactions of a foreign-owned US DE

Australian bank accounts, Wise transfers, Stripe payouts and USD accounts do not control the classification. The relationship between the parties controls. A customer payment is ordinary revenue; a later transfer from the LLC to the Australian owner is a related-party transaction.

How should Australian-dollar amounts be prepared?

Australian-dollar amounts should be reconciled into a US-dollar Form 5472 workpaper. The IRS instructions require US-dollar totals for related-party transaction fields, so the workpaper should show the original AUD amount, transaction date, rate source, USD result and classification.

A simple worked example:

TransactionOriginal amountWorkingReportable result
Owner contributionAUD 3,000AUD 3,000 x 0.6600USD 1,980
Owner withdrawalAUD 1,200AUD 1,200 x 0.6500USD 780
Owner-paid registered agent invoiceUSD 125Already in USDUSD 125
Total related-party value reviewedUSD 1,980 + USD 780 + USD 125USD 2,885

The exchange rates in the example are illustrative, not official. Replace them with documented rates from the transaction dates or another consistently applied published source your preparer accepts. Keep the arithmetic because a future IRS letter is easier to answer when the conversion trail is visible.

How does an Australian owner file the package?

The filing package is Form 5472 attached to a pro forma Form 1120, not a standard corporate income tax return. The IRS instructions say "Foreign-owned U.S. DE" should be written across the top of the Form 1120 and give the dedicated Ogden PIN Unit fax number and mailing address.

Follow this sequence:

  1. Confirm the LLC was a single-member disregarded entity for the year.
  2. Confirm the Australian owner and collect the owner's FTIN or reference ID.
  3. Reconcile all related-party transactions, including owner-paid costs.
  4. Convert non-USD items and save the rate schedule.
  5. Prepare the pro forma Form 1120 with the LLC name, address, EIN and required items.
  6. Prepare Form 5472 and the Part V statement for the owner and any other related party.
  7. Fax the signed package at 300 DPI or higher to the IRS Ogden PIN Unit at 855-887-7737, or mail it to the dedicated Ogden address in the IRS instructions.
  8. Keep the signed return, workpapers and timestamped fax receipt.

The fax receipt matters because foreign-owned disregarded entity Form 5472 packages cannot be e-filed. A saved PDF without proof of transmission is not proof that the IRS received the filing.

How should an Australian owner think about home-country tax?

Australian tax is separate from Form 5472, and Australian residents should assume the US LLC may still matter at home. The ATO states that an Australian resident doing business overseas is taxed on worldwide income and must report income from foreign business activities on the Australian return in its doing-business-overseas guidance.

That sentence is deliberately narrow. Form 5472 does not decide whether Australia treats the LLC as transparent, how foreign tax credits work, whether GST applies, or how distributions should be reported. Get Australian advice.

The US filing question is narrower: if the foreign-owned US disregarded entity had a reportable transaction, Form 5472 is generally required even where no US income tax is due.

Four scenarios, worked through

Australian consultant, Wyoming LLC, all work performed from Sydney. The owner bills overseas clients through the LLC and has no US office, US employees or US workdays. The US income-tax answer depends on the full facts and treaty analysis, but the owner contributed USD 1,000 to open the LLC bank account. Form 5472 is generally required for the contribution year.

Australian ecommerce seller, Delaware LLC, US fulfilment centre. US inventory and US fulfilment create a tax question that deserves US advice. Form 5472 remains a separate information return. Owner loans, repayments, reimbursements and distributions between the Australian owner and the LLC should be captured even if the income-tax result is unresolved.

Australian SaaS founder, New Mexico LLC, no revenue in 2025. The founder paid formation and registered-agent costs personally and later reimbursed them from the LLC bank account. Zero customer revenue does not remove the related-party reimbursement. The 2025 Form 5472 package was generally due 15 April 2026, or 15 October 2026 with a timely extension.

Australian owner closing a dormant US LLC. The LLC earned nothing, but the owner paid final state or agent costs and moved the remaining cash back to Australia. Dissolution-year transfers can still be related-party transactions. File the final-year package before treating the US compliance history as closed.

How can Form5472 Prep be the answer?

Form5472 Prep is useful when the Australian owner's main problem is preparing and submitting the US information-return package, not getting legal or tax advice on Australian classification. The service prepares Form 5472, the pro forma Form 1120 and the Part V statement, then has the package reviewed by a qualified tax accountant.

After signature, Form5472 Prep faxes the package to the IRS Ogden PIN Unit at 855-887-7737 and returns a timestamped receipt. Standard service is $149 and takes 5-7 business days. Express service is $199 and takes 3 business days. Each additional past tax year is +$99. Fax delivery is included.

If the LLC still needs an EIN, the EIN service is $149 at /ein. Form5472 Prep is not a CPA firm and does not give tax advice, but it does handle the preparation and fax submission mechanics that most Australian owners struggle to complete correctly.

Frequently asked questions

Does an Australian owner need an ITIN to file Form 5472?

Usually no. The LLC needs an EIN. An Australian individual owner generally provides a TFN as the FTIN and uses a reference ID where required. An ITIN is entered only if the owner already has one.

Does a no-income Australian-owned LLC still file Form 5472?

It can. Capital contributions, withdrawals, loans, reimbursements, formation costs, owner-paid expenses and dissolution transactions can be reportable even when the LLC had no customer revenue.

Does the US-Australia tax treaty remove Form 5472?

No. The treaty may affect US income-tax treatment, but Form 5472 is a separate US information return for related-party transactions involving a foreign-owned US disregarded entity.

Can an Australian owner e-file Form 5472?

No. The IRS instructions say a foreign-owned US disregarded entity cannot file Form 5472 electronically. The package must be faxed or mailed to the dedicated IRS Ogden PIN Unit.

What is the Form 5472 penalty for Australian owners?

The IRS instructions state that the initial penalty is $25,000 for each required Form 5472 that is late, substantially incomplete, or not supported by required records.

Does Form 5472 replace Australian tax reporting?

No. Form 5472 is a US information return. Australian tax residence, worldwide income, GST and entity classification are separate questions for an Australian tax professional.

What should Australian owners do next?

Form 5472 is manageable when the owner separates filing from tax and builds a complete ledger. Start your Form 5472 filing, or use the foreign-owned LLC filing checklist to confirm the annual package.
