A New Zealand resident who wholly owns a US single-member LLC generally files Form 5472 with a pro forma Form 1120 after a reportable owner or related-party transaction. Use the individual’s IRD number as the FTIN, report funding and withdrawals gross, and analyze New Zealand’s classification of the US LLC separately.

The US information return does not calculate New Zealand tax or determine whether the owner has US effectively connected income. The same LLC can be disregarded in the United States but treated differently in New Zealand.

When does a New Zealand owner file Form 5472?

A filing generally follows when the LLC is a one-owner US disregarded entity, the sole owner is foreign for US tax purposes, and the LLC had a transaction with the owner or another related party.

The IRS Form 5472 instructions include contributions, distributions, formation payments, dissolution payments, and other related-party exchanges. The current penalty for a late, missing, or substantially incomplete form is $25,000 per form, per year.

Form 5472 uses gross amounts. Do not net a contribution against a later payout or combine two related parties in one total.

What New Zealand tax number goes on Form 5472?

Inland Revenue states that an IRD number is a tax identification number. An individual owner normally enters the personal IRD number as the FTIN. A New Zealand entity uses its own IRD number.

The owner’s IRD number and the LLC’s EIN are not interchangeable. The owner also does not need an ITIN solely to complete Form 5472.

How can New Zealand classify a US LLC differently?

New Zealand’s Inland Revenue has published detailed guidance on New Zealand tax consequences of investing in a US LLC. The rulings illustrate that New Zealand can treat a US LLC as a foreign company even where the United States taxes it transparently.

The cited rulings address particular fact patterns and should not be generalized to every wholly owned disregarded LLC. The key point is that US “disregarded” status does not automatically control New Zealand treatment. A New Zealand adviser should assess worldwide income, foreign-company or FIF/CFC implications, distributions, and foreign tax credits.

The US-New Zealand treaty can affect income taxation but does not waive Form 5472. The information return remains tied to foreign ownership and related-party transactions.

Does remote work from New Zealand create US income tax?

Personal services are generally sourced where the work is physically performed. A consultant serving US customers entirely from New Zealand often has foreign-source service income and no US trade or business, while US workdays, employees, an office, inventory, or a dependent agent can change the result.

How should NZD transactions be prepared?

  1. Export every owner and related-party movement. Include owner-paid expenses that never touched the LLC account.
  2. Assign a transaction type. Use contribution, distribution, loan, repayment, reimbursement, or related-party service/payment.
  3. Record the original NZD amount and date. Preserve the bank or card source.
  4. Apply a named, consistent exchange-rate method. Calculate the US-dollar amount and retain the arithmetic.
  5. Reconcile totals to the Part V statement and line 1f. Gross inflows and outflows remain separate.

How is the filing delivered?

The pro forma Form 1120, Form 5472, and supporting statements are signed and submitted together. A foreign-owned US disregarded entity cannot e-file the package; it must use the dedicated IRS fax or mailing route shown in the current instructions.

For a calendar-year LLC, the package is generally due April 15 following the tax year, or October 15 after a timely Form 7004 extension. Form5472 Prep prepares the documents, arranges accountant review, faxes the final package, and returns a timestamped receipt.
