A Pakistan resident who owns a US single-member LLC generally files Form 5472 with a pro forma Form 1120 whenever the LLC has a reportable transaction with its owner or another related party. For an individual registered with Pakistan's FBR, the CNIC functions as the NTN or registration number used as the FTIN.
The rule reaches freelancers and agencies using a US LLC for client contracts, marketplaces, payment platforms, or US banking. Revenue alone is not the target. The filing reports money, property, and services moving between the LLC and its foreign owner or another related party.
That means a Payoneer or Wise transfer can be either ordinary business activity or an owner distribution depending on who owns the sending and receiving accounts. If you would rather have the federal package prepared and faxed, start a Pakistan Form 5472 filing.
When does a Pakistan-owned LLC have to file Form 5472?
A Pakistan-owned US LLC generally files when it is disregarded for federal tax purposes, its sole owner is a foreign person, and it had at least one reportable transaction during the tax year.
Use this quick test:
- Check the entity. A US single-member LLC is normally disregarded unless it made a tax election. A multi-member LLC usually follows partnership filing rules instead.
- Check the owner. A Pakistan resident who is not a US citizen, green-card holder, or US tax resident is generally a foreign person for Form 5472.
- Check the ledger. Look for owner funding, withdrawals, loans, owner-paid bills, service payments, property transfers, and dealings with another related foreign person.
An LLC can have a reportable transaction before earning its first fee. Cash deposited to activate a bank account or pay a formation expense is normally an owner contribution, so "no sales" does not resolve the filing question.
The IRS Instructions for Form 5472 state that missing Form 5472 carries a $25,000 penalty per form, per year under IRC §6038A(d). A substantially incomplete form counts as a failure to file. If a failure continues after an IRS notice, another $25,000 applies for every 30-day period, or fraction, after the 90-day response period (IRC §6038A(d)(2)).
Which freelancer and agency transactions are reportable?
The account owners and transaction counterparties determine the answer, not the logo on the payment screen. A platform can move client revenue, owner money, or both.

Do not net all owner transfers into one figure. A contribution going in and a distribution coming out remain separate gross movements. Do not report all Payoneer or Wise volume either: first identify the legal account holder and the true sender and recipient.
Which CNIC or NTN belongs in Part II?
Use the identifier of the foreign owner named in Part II, not the LLC's EIN. For a Pakistan individual registered with FBR, the CNIC serves as the National Tax Number or registration number; for a company or association of persons, the entity receives its own NTN.
Pakistan's Federal Board of Revenue registration guidance states that an individual's CNIC is used as the NTN or registration number, while companies and associations use the NTN received after enrolment. Enter that Pakistan identifier as the FTIN on line 4b(3).

The reference ID is required even when line 4b(3) contains a valid CNIC. It is a separate alphanumeric identifier created by the reporting LLC to track the same foreign owner from year to year. An ITIN is not required solely to file Form 5472.
Does the US-Pakistan treaty cancel Form 5472?
No. The IRS treaty A-to-Z list includes Pakistan, and the IRS hosts the US-Pakistan income tax treaty signed in 1957. Treaty coverage may affect the US income-tax treatment of a qualifying item, but it does not waive this information return.
Form 5472 and income tax ask different questions. Form 5472 asks whether a foreign-owned reporting entity had transactions with related parties. A treaty analysis asks what income is taxable, where it is sourced, whether a permanent establishment exists, and whether the owner qualifies for treaty benefits.
Pakistan's treatment of the LLC and its profits is another separate analysis. A Pakistan adviser should review local residence, reporting, foreign-entity classification, and remittance facts. Form 5472 does not establish that the business owes no tax in either country, and this guide states no foreign tax rate.
How should PKR transactions be converted to dollars?
Report Form 5472 amounts in US dollars and attach a schedule showing the exchange rates used. A consistent transaction-date method gives each transfer a traceable connection to the bank or platform record.
The following figures are an illustrative conversion workpaper, not a historical exchange-rate claim. Assume the supporting record shows PKR 280 per USD on each example date:

The contribution, distribution, and owner-paid bill belong as separate descriptions on the supporting statement. The USD 2,850 total is the gross value reviewed for line 1f, not a profit calculation and not the net amount retained by the owner. Save the source record for every rate used.
How do four common Pakistan scenarios work?
Four scenarios, worked through, show how the same platform can produce different filing results.
1. A solo Upwork freelancer invoices through the LLC. Upwork client receipts are third-party revenue when the contracts and account belong to the LLC. A later transfer from the LLC's balance to the freelancer's personal Pakistan account is a reportable distribution. The platform fee itself is not related-party activity.
2. An agency collects Fiverr revenue and uses Payoneer. Fiverr revenue delivered into an LLC-owned Payoneer account remains business revenue. When the LLC sends money from that account to the owner personally, the transfer becomes a distribution. If the account is personal from the outset, reconcile who legally received each amount before filing.
3. The owner also operates a Pakistan company. A payment from the US LLC to that company for staff, development, or management services is a foreign related-party transaction. Prepare a separate Form 5472 for the Pakistan company in addition to the form covering owner contributions or distributions.
4. A dormant LLC had bank fees but no clients. Bank fees charged to the LLC by an unrelated bank are not owner transactions. Cash the owner supplied to cover those fees is reportable. If nothing moved between the LLC and any related party, the Form 5472 trigger may be absent; confirm that result from the full ledger.
How does a Pakistan owner prepare and send the package?
Prepare a paper or fax package for the dedicated IRS Ogden PIN Unit because a foreign-owned US disregarded entity cannot e-file Form 5472.
- Export all account activity. Include US bank, Wise, Payoneer, and marketplace records, plus expenses paid from personal Pakistan accounts.
- Classify the counterparties. Separate unrelated clients and suppliers from the owner, the owner's company, and other related persons.
- Complete the pro forma Form 1120. Use the limited entity information required by the instructions, sign it, and write "Foreign-owned U.S. DE" across the top.
- Complete Form 5472 for each related party. Enter the correct CNIC/NTN and the mandatory line 4b(2) reference ID when the owner lacks a US TIN on line 4b(1).
- Attach Part V and currency schedules. Show each contribution, distribution, or other transaction with its direction, date, PKR amount, rate basis, and USD result.
- Fax at 300 DPI or higher to 855-887-7737, or mail it. The address is Internal Revenue Service, 1973 Rulon White Blvd, M/S 6112, Attn: PIN Unit, Ogden, UT 84201.
- Retain evidence. Keep the signed filing, supporting records, and timestamped fax receipt or mailing proof together.

US-formed LLCs have been exempt from FinCEN BOI reporting since the interim final rule effective 26 March 2025. The BOI change does not affect Form 5472, state compliance, or any US or Pakistan income-tax return.
What should a Pakistan owner do if a year was missed?
Prepare every missing year's package promptly, reconcile the underlying records, and consider whether the facts support a reasonable-cause statement under Treasury Regulation §1.6038A-4(b). Relief is not automatic, and a generic claim that the owner did not know the rule is not a substitute for a factual explanation and evidence.

Are Payoneer and Wise payouts reported on Form 5472?
Transfers from an LLC-owned account to the owner's personal account are reportable distributions, regardless of platform. Client revenue moving between accounts owned by the LLC is not an owner distribution. Confirm who legally owns each account.
Does the US-Pakistan treaty remove the filing requirement?
No. The treaty can affect income-tax treatment for eligible items, but Form 5472 is a related-party information return. A qualifying foreign-owned LLC still files when it has reportable transactions.
Must a dormant Pakistan-owned LLC file Form 5472?
