A Portugal resident who owns a US single-member LLC must file Form 5472 with a pro forma Form 1120 each year the LLC had a reportable transaction with them. Two things differ from a zero-tax jurisdiction: the US-Portugal tax treaty is in force, and Portugal issues you a NIF, so the FTIN box takes a real number.
Lisbon, Porto and the Algarve host many remote developers, agency owners, consultants and ecommerce operators who keep a Wyoming, Delaware or Florida LLC because US payment processors and banking are easier to open than European equivalents.
Two features of the Portuguese position change the mechanics compared with a UK or Indian owner. Neither removes the obligation. Portugal issues a personal tax number that fills the FTIN box, and its best-known expatriate regime was repealed, so most pre-2024 advice describes a regime closed to new entrants.

Do Portugal residents have to file Form 5472?
Yes, on the same terms as any other non-US owner. Three conditions:
- The LLC is a US disregarded entity — a single-member LLC that has not elected corporate treatment.
- Its sole member is a non-US person: not a US citizen, green card holder or US tax resident.
- At least one reportable transaction took place during the tax year between the LLC and its owner or another foreign related party.
Under Treasury Regulation § 1.6038A-1, for tax years beginning on or after 1 January 2017 and ending on or after 13 December 2017 a foreign-owned US disregarded entity is treated as a corporation separate from its owner solely for the § 6038A reporting rules. Where the owner pays personal tax is irrelevant to that rule.
Reportable transactions are money, property or services moving between you and your own LLC: contributions in, distributions out, loans either way, payments for goods or services. Customer revenue is not reportable. A Stripe payout from a client does not go on the form; a transfer from that balance to your personal Millennium bcp or Caixa Geral de Depósitos account does.
For a typical Lisbon-based owner:
- Euros wired to fund the LLC's US bank account — reportable contribution
- Transfers from the LLC to your Portuguese personal account — reportable distributions
- Money you lent the LLC to cover a contractor before invoices cleared — reportable loan
- Payments from the LLC to your own Portuguese Lda. — reportable, and a second related party
The IRS Instructions for Form 5472 state that a $25,000 penalty may apply for failure to file when due and in the prescribed manner, for a substantially incomplete form, or for failure to maintain required records — and a substantially incomplete Form 5472 counts as a failure to file. It is not automatic for every slip.
Does the US-Portugal tax treaty change anything?
An income tax treaty between the United States and Portugal is in force. Portugal appears on the IRS treaty A-to-Z page, and the IRS Portugal treaty documents page publishes the 1994 convention and its technical explanation. That separates Portugal from the UAE, which has no treaty with the US at all.
It changes nothing about Form 5472. Treaties allocate taxing rights over income; Form 5472 is an information return under IRC § 6038A, and no treaty article exempts anyone from it. The treaty can matter for your income tax position — permanent establishment, business profits, withholding on US-source passive income — but those are fact-specific questions for a qualified adviser, separate from this filing.
What goes in the FTIN box if you have a Portuguese NIF?
Your NIF. Portugal issues a número de identificação fiscal, which the Autoridade Tributária's NIF page describes as a nine-digit number. Registration is mandatory for all citizens — Portuguese or foreign, resident or non-resident — who are subject to tax obligations or wish to exercise rights before the tax authority.
A Dubai-based owner writes "None" in the FTIN block and relies on a reference ID. You hold a genuine foreign tax identification number, and it belongs in that field.

Do not enter your Lda.'s NIPC — that is the company's number, not yours. Do not enter a cartão de cidadão number, which is an identity document number rather than a tax number. And do not get a US ITIN just to fill this box; our FTIN and reference ID guide explains the alternatives.

Does Portuguese personal tax affect the US filing?
No. It runs on a separate track.
Article 16(1)(a) of the Código do IRS makes you resident if you stay in Portugal more than 183 days, consecutive or not, in any 12-month period beginning or ending in the year concerned. Article 16(2) counts any day, whole or partial, that includes an overnight stay. Article 16(1)(b) adds a second test for someone who stays less but keeps a home suggesting an intention to occupy it as a habitual residence. Once resident, article 15 of the same code taxes the totality of your income, including income obtained abroad.
Many owners arrive on the remote-work route. AIMA, the Portuguese migration agency, publishes it as the residence permit for professional activity carried out remotely, under article 88(1) of the REPSAE, labelled "nómadas digitais", valid for two years and renewable for successive three-year periods. The shorthand "D8" is widely used for the matching visa, but AIMA's page does not use that code, so treat "D8" as an informal name we could not confirm as official.
How your LLC's profit is characterised and taxed in Portugal depends on facts we do not assess and law we do not practise. Take that to the Autoridade Tributária or a Portuguese accountant. The answer does not change whether Form 5472 is due.
What replaced the NHR regime, and does it affect Form 5472?
The non-habitual resident regime was repealed and a research-and-innovation incentive replaced it. Neither touches Form 5472, but most online advice predates the change.
The Autoridade Tributária's text of article 16 shows paragraphs 8 to 12 — the non-habitual resident rules — as revoked by Lei n.º 82/2023 of 29 December. The same page reproduces the transitional provision in article 236 of that law, which preserves the old rules for people already registered and for defined categories meeting conditions dated in 2023 and 2024.
The successor is the incentivo fiscal à investigação científica e inovação (IFICI), in article 58-A of the Estatuto dos Benefícios Fiscais. That article and the Autoridade Tributária's IFICI FAQ state that it applies a special 20% rate to net category A and B income for ten consecutive years, to people who:
- become Portuguese tax resident without having been resident in the five preceding years;
- carry on one of the activities the article lists — research, teaching, innovation and specified qualified roles, not remote work generally;
- have not benefited from the non-habitual resident regime; and
- have not used IFICI before.
Registration is made on the Portal das Finanças by 15 January of the year after becoming resident.
Whether a particular US-LLC owner's activity qualifies, and how the regime treats income from a US disregarded entity, is unverified — we have not confirmed it and cannot assess it. Check with the Autoridade Tributária or a Portuguese tax adviser. Neither regime has any bearing on Form 5472.

Whether you owe a US return turns on facts — effectively connected income, US inventory or contractors, treaty articles — that a qualified adviser must assess. Form 5472 does not wait for that answer.
How does a Portugal-based owner actually file?
You cannot e-file, and no consumer tax software supports this package.
- Prepare the pro forma Form 1120 — the LLC's name and address and items B and E only, with "Foreign-owned U.S. DE" across the top of page 1.
- Prepare Form 5472 — Part I for the LLC, Part II for you with your Portuguese address and NIF, Part III for the related party, Part IV for the transactions, and a Part V statement itemising contributions and distributions.
- Convert euros to US dollars at a reasonable rate for each transaction date, applied consistently, stating the basis.
- Sign and fax to 855-887-7737, or mail to Internal Revenue Service, 1973 Rulon White Blvd, M/S 6112, Attn: PIN Unit, Ogden, UT 84201.
- Keep the timestamped fax receipt. The IRS sends no acknowledgement; the receipt is transmission evidence, not IRS acceptance of the return.

Frequently asked questions
Do I file Form 5472 if I already pay tax in Portugal?
Yes. Form 5472 is an information return, not a tax return, and Portuguese tax satisfies nothing on the US side. If your LLC had any reportable transaction with you during the year, the filing is required.
Is there a tax treaty between the US and Portugal?
Yes. Portugal is listed on the IRS treaty A-to-Z page, and the IRS publishes the 1994 convention. The treaty can matter for income tax; it changes nothing about Form 5472.
Does my NIF go in the FTIN box?
Yes. Your nine-digit NIF is your foreign tax identification number. Do not substitute your company's NIPC or your cartão de cidadão number.
Is NHR still open to new arrivals?
No. Its rules in article 16 of the Código do IRS were revoked by Lei n.º 82/2023, with transitional protection for people already registered and defined 2023–2024 cases. The successor is IFICI, in article 58-A of the EBF.
Does IFICI cover income from my US LLC?
Unverified — we cannot tell you. IFICI is limited to listed research, teaching and innovation activities and excludes former NHR beneficiaries. Ask the Autoridade Tributária or a Portuguese adviser.
Does a remote-work residence permit change the US filing?
No. Portuguese immigration status has no effect on Form 5472. The obligation follows the US LLC and your non-US-person status.
I never filed for past years — what now?
File every outstanding year promptly, with a reasonable cause statement, before the IRS contacts you. Each year carries its own exposure. See our late filing guide.
Portugal gives you a treaty and a tax number, which makes the form easier to complete than it is in the Gulf. It does not make it optional. If money moved between you and your US LLC, Form 5472 is due.
