Registered agents can use the Form5472 Prep partner program to coordinate federal Form 5472 filings for foreign-owned US LLC clients without becoming the tax preparer. The registered agent starts or monitors the file, the client confirms the facts and signs, and Form5472 Prep handles the supported preparation and IRS submission workflow. White-label delivery is available by request.
This closes a common compliance gap: the client renews the registered-agent service or files a state annual report and assumes every annual requirement is complete.
Request a registered-agent partner account to add a standard or white-label federal filing handoff.
State maintenance and Form 5472 are different layers
A registered agent's core service concerns state entity records and receipt of legal or government notices. Form 5472 is a federal information return administered by the IRS. Paying the registered-agent renewal or filing the state annual report does not file the federal return.
| Compliance event | Typical authority | What it proves | What it does not prove |
|---|---|---|---|
| Registered-agent renewal | Private provider and state record | A registered agent remains appointed | That federal tax filings are complete |
| State annual report | Secretary of State or equivalent | Entity information is updated | That Form 5472 was filed |
| State franchise or annual tax | State tax agency | State payment or return was addressed | That federal related-party reporting was addressed |
| Form 5472 + pro forma Form 1120 | IRS | Supported foreign-owner transactions were reported | That owner income tax or every state return was addressed |
The IRS instructions currently state that failing to file a timely and substantially complete Form 5472 can trigger a $25,000 penalty. Verify the current instructions before filing because penalty rules and procedures can change.
A practical registered-agent handoff
Registered agents already hold several useful facts: the LLC's exact legal name, formation state, effective date, registered address, and renewal calendar. The partner workflow adds the federal filing information without asking the agent to decide tax positions.
The registered agent coordinates
- identify clients that are foreign-owned US single-member LLCs;
- remind them that state renewal and federal information reporting are separate;
- start the appropriate partner filing or send the client into the intake;
- provide formation and registered-agent payment records when authorized; and
- monitor status and follow up on missing client action.
The client owns the facts and signature
The client confirms ownership, addresses, funding, withdrawals, loans, reimbursements, and related-party transactions. The client reviews the prepared package and signs through a secure browser link.
Form5472 Prep handles the supported filing workflow
Form5472 Prep prepares the Form 5472 and pro forma Form 1120 package, arranges qualified tax-accountant review, sends the signed package to the IRS, and stores a timestamped fax receipt.
The annual-renewal trigger map
| Registered-agent touchpoint | Useful Form 5472 prompt |
|---|---|
| New entity welcome | “Who owns the LLC, and who paid the setup costs?” |
| First renewal notice | “Did the owner fund the LLC, withdraw money, or pay expenses personally?” |
| State annual-report reminder | “Has the ownership or tax classification changed?” |
| Year-end communication | “Are the owner and related-party transaction records complete through December 31?” |
| Dissolution request | “Were final distributions, closure costs, or asset transfers documented?” |
These are screening prompts, not tax advice. A positive answer signals that the client should complete the filing review.
White-label delivery for registered-agent firms
White-label options are available by request for registered-agent companies that want agreed client communications to use their own brand. This can make sense when federal filing coordination is part of an annual-compliance package rather than a one-off external referral.
Define the exact scope during partner approval:
- which client emails or instructions carry the registered agent's brand;
- who answers client questions;
- whether the partner or client pays each filing;
- how fax receipts and completed packages are delivered;
- how out-of-scope tax questions are escalated; and
- whether volume pricing or consolidated invoicing is required.
Do not describe the service as fully white-labeled across every system until those touchpoints are agreed. The government filing itself must show the legally required taxpayer and filing information.
Fit and service boundaries
The partner workflow is a strong fit when the registered agent serves multiple non-US owners and wants a repeatable federal compliance handoff. It is less suitable when the client has a multi-member LLC, a corporate election, a US trade or business requiring a substantive income-tax return, or complex transfer-pricing and withholding issues without separate professional support.
Form5472 Prep is a form-preparation and filing-courier service rather than a CPA firm. It does not replace the registered agent's state services or provide the client's broader tax advice. Keeping those roles explicit protects the client from believing one renewal completed everything.
The foreign-owned LLC filing checklist can help partners explain the difference between state maintenance, federal information reporting, and owner-level tax analysis.
